1. Agreement to These Terms
These Terms of Use (“Terms“) govern your access to and use of the WebProgress.AI website and the products and services offered by WebProgress.Net, Inc., an Illinois corporation doing business as WebProgress.AI (“WebProgress,” “WPAI,” “we,” “us,” or “our“). WebProgress.AI and WebProgress.Net refer to the same company. Please read these Terms carefully. By accessing or using the site or our Services, you agree to be bound by them. If you do not agree, do not use the site or the Services. We may modify these Terms from time to time; changes are effective when posted with a revised “Last Updated” date, and your continued use constitutes acceptance.
2. Our Services
WebProgress provides website design, web hosting, digital advertising (including Google Ads and Facebook advertising), SEO, YouTube/video services, marketing, business consulting, AI-powered services, and related products sold through our store (collectively, the “Services“). Specific deliverables, scope, and fees for a given engagement are set out in the applicable proposal, order, order form, or product description, which forms part of your agreement with us. Our AI features are additionally governed by our AI Terms, and certain marketing services by our Marketing Terms.
3. Accounts and Eligibility
The Services are intended for business use by individuals aged 18 or older. You agree to provide accurate information, keep your account credentials secure, and remain responsible for activity under your account.
4. Orders, Fees, and Billing
- Fees. You agree to pay all fees stated in your order, proposal, or product description.
- Recurring services. Some Services (such as hosting, advertising management, AI subscriptions, and other subscriptions) renew and bill on a recurring basis at the then-current rate until cancelled in accordance with these Terms or your order. You authorize us to charge your payment method for recurring charges.
- Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.
- Late payment. Overdue amounts may result in suspension of Services and may accrue interest to the extent permitted by law.
- Refunds. Except where required by law or stated in your order, fees are non-refundable once work has begun or a service period has started. [Adjust to reflect your actual refund policy per product.]
- Chargebacks. Please contact us to resolve any billing dispute before initiating a chargeback.
5. Affiliate Links and Compensated Content

- Our property. The site and its contents — including text, graphics, logos, code, designs, and software — are owned by WebProgress or its licensors and are protected by copyright, trademark, and other laws. Except as expressly permitted, you may not copy, reproduce, republish, distribute, or create derivative works from our materials. You may view and download materials for your own non-commercial use, keeping all proprietary notices intact.
- Trademarks. WebProgress.AI, WebProgress.Net, and related names, logos, and marks are trademarks of WebProgress. Other names may be trademarks of their respective owners.
- Deliverables. Ownership of custom deliverables produced for a client is governed by the applicable project agreement or order. Rights in AI-generated Outputs are addressed in our AI Terms.
- Feedback. If you submit ideas, suggestions, or feedback about our Services, you grant us a non-exclusive, royalty-free license to use them to improve our Services, without obligation to you.
8. Third-Party Services and Links
The Services rely on and may link to third-party platforms and websites we do not control (including hosting, advertising, payment, and AI platform providers). We are not responsible for third-party content, availability, or practices, and a link does not imply endorsement. Your use of third-party services may be subject to their own terms.
9. No Guarantee of Results
Advertising, SEO, marketing, and AI Services depend on many factors outside our control. Any examples, projections, or estimates of traffic, leads, rankings, or revenue are illustrative only and are not guarantees of any specific outcome.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF HARMFUL CODE. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS AND SECURITY MEASURES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBPROGRESS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE APPLICABLE SERVICE IN THE [THREE (3)] MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to defend, indemnify, and hold harmless WebProgress and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content or Inputs, or your breach of these Terms.
13. Term and Termination
Either party may terminate as set out in the applicable order, or otherwise on reasonable notice. We may suspend or terminate access immediately for non-payment, breach, or unlawful use. Provisions that by their nature should survive termination (including Sections 4, 5, 7, 9, 10, 11, 12, and 14) will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction.
